Terms of Service

These Terms of Service ("Terms") govern your purchase and use of Forge Lead Agent (the "Software") from Forge Local, LLC ("Forge Local," "we," "us," or "our"). By purchasing or using the Software, you agree to these Terms. If you do not agree, do not purchase or use the Software.

1. The Software & License

Forge Lead Agent is a tool you run on your own computer, using your own accounts and API keys, to identify local businesses and assess their web presence. When you purchase, we grant you a non-exclusive, non-transferable license to install and use the Software for your own business purposes.

You receive access to the Software as a code repository delivered through GitHub. Your license is yours to keep and use, subject to the restrictions below.

2. License Restrictions

You may not:

resell, redistribute, sublicense, rent, or share the Software or its source code with anyone else;
publish the Software publicly or make it available for download by others;
remove or alter any proprietary notices;
represent the Software as your own product.

The license is for your use. It does not transfer ownership of the Software itself.

3. How Your Purchase Works

We sell the Software through Polar (Polar Software, Inc.), which acts as our Merchant of Record and authorized reseller. When you buy Forge Lead Agent, Polar is the seller of record for that transaction: Polar hosts the checkout, processes your payment (using Stripe as its underlying payment processor), and handles applicable sales tax, order support, disputes, and chargebacks. After your purchase completes, we deliver the Software to you and provide product support as described in these Terms.

Your checkout is therefore also subject to Polar's own terms and policies, in addition to these Terms. Where these Terms and Polar's checkout terms both apply to a transaction, Polar's terms govern the payment, tax, and dispute-handling aspects of that transaction.

4. Pricing & Payment

The Software is offered for a one-time fee, in the amount and tier shown at checkout at the time of your purchase. Different tiers may include different levels of access or support, as described on our website and at checkout. By purchasing, you authorize the charge shown at checkout. Prices and tiers may change for future buyers, and access may be limited by seat caps or promotional waves, but a change does not affect a purchase already completed.

5. Refunds

Because the Software is delivered as downloadable source code that is yours to keep, our policy is that all sales are final and non-refundable once you have been granted access to the repository.

Because your purchase is completed through Polar as Merchant of Record, any refund, chargeback, or payment dispute is handled through Polar's transactional support process, and Polar's checkout terms apply to those requests. Nothing in these Terms limits any refund or cancellation rights you have that cannot be waived under the mandatory consumer-protection laws of your country or state.

6. Your Responsibilities & Acceptable Use

You operate the Software. You are solely responsible for how you use it and for ensuring your use is lawful. By using the Software, you agree that you will:

comply with all applicable laws and regulations, including those governing data collection, privacy, and electronic communications (for example, anti-spam laws such as the CAN-SPAM Act);
comply with the terms of service and acceptable-use policies of any third-party platform or service the Software interacts with, including Google and any data sources;
obtain and use your own API keys and third-party accounts, and remain responsible for any fees, limits, or terms attached to them;
use any business contact information you obtain responsibly and lawfully, including how you contact and market to those businesses.

Forge Local does not control and is not responsible for how you use the Software or the data you collect with it.

7. Third-Party Services

The Software depends on third-party services and accounts that you supply and control (such as Google, your email provider, and GitHub). Those services are governed by their own terms and may change or become unavailable at any time. Forge Local is not responsible for third-party services or for changes that affect how the Software functions.

8. Disclaimers

The Software is provided "as is" and "as available," without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Software will be uninterrupted, error-free, or that it will produce any particular results, number of leads, or revenue. Any results depend on factors outside our control, including third-party data and how you use the Software.

9. Limitation of Liability

To the maximum extent permitted by law, Forge Local will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any lost profits, lost data, or business interruption, arising out of or related to the Software or these Terms. Our total liability for any claim relating to the Software will not exceed the amount you paid for it.

10. Indemnification

You agree to indemnify and hold harmless Forge Local and its members, officers, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of your use of the Software, your violation of these Terms, or your violation of any law or third-party right.

11. Intellectual Property

The Software, including its source code, design, and all related intellectual property, is owned by Forge Local, LLC and is protected by applicable law. These Terms grant you a license to use the Software, not any ownership of it.

12. Termination

We may suspend or terminate your license if you breach these Terms, including the license restrictions or acceptable-use requirements. Upon termination, you must stop using and delete your copies of the Software.

13. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Your continued use of the Software after changes take effect constitutes acceptance of the updated Terms.

14. Governing Law & Venue

These Terms are governed by the laws of the State of Arkansas, without regard to its conflict-of-laws rules. Any dispute arising under these Terms will be brought exclusively in the state or federal courts located in Washington County, Arkansas, and you consent to the jurisdiction of those courts.
